1. Agreement and eligibility
By accessing or using Uizo, you agree to these Terms and the Privacy Policy. If you use Uizo for a business, you represent that you are authorized to bind that business.
You must be at least 18 years old and legally able to enter a contract. You must provide accurate account and transaction information and keep account access secure.
2. Uizo's role
Uizo provides referral attribution, agreement records, booking-request workflow, verification, fee collection, and payout tooling. Uizo is not the provider of the underlying local service.
Businesses remain responsible for service quality, licensing, pricing, availability, cancellation policies, safety, taxes, and compliance. A booking request is not confirmed until the business accepts it.
3. Referrals and content
Referrers must describe genuine experiences and may not publish false, misleading, infringing, unlawful, or undisclosed sponsored content.
You retain ownership of content you submit. You grant Uizo a worldwide, non-exclusive license to host, format, display, and distribute that content as needed to operate and promote the referral page.
A referral remains private until the business activates it. Uizo or the business may suspend a card that creates legal, safety, fraud, or accuracy concerns.
4. Business activation and agreement
A business invitation presents referral terms, eligibility, and attribution context. Acceptance creates the agreement snapshot used for resulting cases.
The standard first-release terms are a 7% referrer reward and a 5% Uizo platform fee on the verified eligible amount, unless the accepted snapshot states otherwise.
Business members must use a valid payment method and promptly update inaccurate business information.
5. Guest requests and verification
Guests must provide accurate contact and booking information and keep private status links confidential.
Guest and business confirmations are used to verify completion and eligible value. Uizo may pause a case, request evidence, or resolve a mismatch before settlement.
The underlying service transaction, refund, cancellation, and consumer dispute remain between the guest and business except where law requires otherwise.
6. Fees and payouts
Businesses authorize Uizo and Stripe to charge referral fees after a case is verified. Failed charges remain due and may suspend additional referral activity.
Eligible referrers must complete Stripe Connect onboarding. Payout timing depends on successful fee collection, Stripe availability, identity review, reserves, and applicable law.
Referrers are responsible for their taxes. Uizo may withhold or report amounts when legally required.
7. Prohibited conduct
You may not create fake bookings, self-deal to manufacture rewards, manipulate confirmations, scrape private data, probe or bypass access controls, misuse invite or guest tokens, interfere with the service, or use Uizo for unlawful referrals.
You may not share passwords, one-time codes, full payment details, or private guest links with unauthorized people.
8. Suspension and termination
You may stop using Uizo at any time. Uizo may restrict or terminate access to protect participants, investigate fraud, enforce these Terms, or comply with law.
Provisions concerning ownership, fees, audit records, disputes, disclaimers, liability, and indemnity survive termination where applicable.
9. Disclaimers
Uizo is provided on an 'as is' and 'as available' basis to the extent permitted by law. Uizo does not guarantee a business will activate, accept a request, provide satisfactory service, or generate a reward.
Recommendations are the referrer's views. Uizo does not endorse or independently verify every statement on a public card.
10. Limitation and indemnity
To the maximum extent permitted by law, Uizo will not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or the underlying service.
Your aggregate claim against Uizo will not exceed the greater of amounts you paid directly to Uizo in the prior 12 months or USD $100, unless applicable law requires otherwise.
You agree to indemnify Uizo for third-party claims arising from your content, underlying services, unlawful conduct, or breach of these Terms.
11. Governing terms and changes
These Terms are governed by the laws of California, excluding conflict-of-law rules. The parties will first attempt good-faith informal resolution by contacting legal@uizo.ai.
Uizo may update these Terms. Material changes will be identified by a new effective date, and continued use after that date constitutes acceptance where permitted by law.
